What is a Brazilian Depositary Receipt?

A BDR is a depositary receipt issued and negotiable in Brazil representing securities issued in a non-Brazilian publicly-held corporation. Issuance must be carried out by Brazilian institutions, known as depositary or issuing institutions, which are legal entities authorized to operate by the Central Bank of Brazil (BACEN) and accredited by the Brazilian Securities and Exchange Commission (CVM) to issue BDRs. Such issuance is backed by securities held in custody in their country of origin by custodial institutions, and these institutions are responsible for maintaining custody of the securities represented by the BDRs. BDRs are quoted and traded in Brazilian real on the Brazilian securities market. BDRs were specifically designed to facilitate the purchase, holding and sale of non-Brazilian securities by Brazilian investors and to provide a corporate finance vehicle for non-Brazilian companies.

What are the benefits of BDRs to Brazilian investors?

BDRs and the rights attached to BDRs are governed by Brazilian laws and regulatory provisions. Brazilian investors may prefer to purchase BDRs rather than ordinary shares in the issuer’s home market because BDRs trade, clear and settle according to  Brazilian laws and regulatory provisions.
